Because he just wants to be friends with her!
He likes her, but he doesn't feel the "chemistry" of someone he would want as a lover. Or, he does feel that chemistry but he's sensibly protecting himself from getting into a relationship that wouldn't work for other reasons (personality differences, life situations). Or of course there may be someone else he is more interested in. Alternatively, he might be gay :D
If you are the woman in this picture you have to decide if you can actually handle being friends with this guy, or if you need to disconnect altogether to protect yourself emotionally.
